Terms of Use

By placing an order with SYG Industrial, the customer accepts these terms in full. These terms govern all sales and deliveries unless both parties have agreed otherwise in writing. Technical specifications set out in theSYG Industrial quotation take precedence over any general wording or conflicting drawing notes, where this has been explicitly stated in the quotation.

SYG Industrial may provide quotations in response to customer requests. Quotations are non-binding offers unless explicitly stated otherwise and are subject to availability and confirmation.

An order is accepted only upon written confirmation by SYG Industrial. Once production or procurement of materials has commenced, cancellation or modification of an order may not be possible and may result in charges proportional to the work and costs already incurred.

SYG Industrial may engage selected manufacturing partners and subcontractors to fulfil orders. These partners are expected to operate under confidentiality and quality obligations consistent with those applied to the order.

The customer must inspect delivered goods promptly upon receipt. Any visible discrepancies, shortages, or non-conformances must be reported in writing within five (5) working days of delivery, as set out in Section 5.5.

All prices quoted by SYG Industrial exclude value added tax (VAT) and any other applicable taxes or duties, unless explicitly stated otherwise in the quotation or invoice.

Payment terms are as stated in the applicable quotation or invoice. Where no terms are specified, payment is due within thirty (30) days of the invoice date.SYG Industrial reserves the right to require advance payment or a deposit before commencing production, particularly for new customers or high-value orders.

The customer is responsible for providing accurate and complete drawings, specifications, and technical requirements. SYG Industrial will produce parts in accordance with the information provided and cannot be held responsible for defects or non-conformances that originate from errors, omissions, or ambiguities in customer-supplied data.

Unless explicitly agreed otherwise in writing, the customer is responsible for verifying that the selected materials, tolerances, and surface finishes are suitable for the intended application. SYG Industrial may raise technical questions before confirming an order but does not assume design responsibility.

Delivery dates provided by SYG Industrial are estimates based on information available at the time of quotation. While we make every reasonable effort to meet agreed timelines, SYG Industrial accepts no liability for delays caused by carriers, customs processes, raw material availability, or other external circumstances beyond our reasonable control.

Risk of loss or damage passes to the customer upon delivery to the agreed delivery address or upon handover to the carrier, whichever is earlier, unless otherwise agreed in writing.

The customer must inspect all delivered goods upon receipt. Claims relating to visible damage, incorrect quantities, or obvious non-conformances must be submitted in writing to SYG Industrial within five (5) working days of delivery. Claims submitted after this period may not be accepted. Claims relating to latent defects must be raised within a reasonable period of their discovery.

The customer retains full ownership of all drawings, technical data, and specifications submitted to SYG Industrial. By submitting such materials, the customer grants SYG Industrial a limited, non-exclusive right to use those materials solely for the purposes of preparing quotations, coordinating production, performing quality control, and delivering the relevant order.

SYG Industrial will not use customer-provided intellectual property for any purpose beyond the scope of the agreed engagement, and will not share it with third parties except as necessary to fulfil the order under appropriate confidentiality obligations.

"Confidential information" means any technical, commercial, or operational information disclosed by either party in connection with a quotation or order, including but not limited to drawings, specifications, pricing, and business data, that is identified as confidential or that would reasonably be understood to be confidential given its nature.

SYG Industrial will apply reasonable care to protect confidential information received from customers and will limit access to employees, subcontractors, and manufacturing partners who require it to perform the work, and who are expected to maintain equivalent standards of confidentiality.

Where a customer's internal policies require a formal Non-Disclosure Agreement before sharing technical information, SYG Industrial is prepared to review and enter into such an agreement. Please contact us at contact@sygindustrial.com to arrange this before submitting sensitive materials.

Except where explicitly agreed in writing, SYG Industrial provides services and deliverables in accordance with the agreed technical specifications and applicable law. No additional warranties, representations, or conditions are implied beyond those required by law or expressly stated in the order confirmation.

SYG Industrial does not warrant that the website will be continuously available or free from errors, and accepts no liability for temporary interruptions to website access.

To the extent permitted by applicable law, SYG Industrial's total liability to a customer in connection with any order shall not exceed the total amount paid by the customer for that specific order.

SYG Industrial shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of business, or loss of data, arising from or in connection with these terms or the use of the website or services, even if advised of the possibility of such damages, except where such exclusion is not permitted by applicable law.

SYG Industrial reserves the right to suspend or terminate access to the website or to decline to fulfil an order in cases of misuse, material breach of these terms, fraudulent or unlawful conduct, or where continuing to do so would expose SYG Industrial or its partners to unacceptable risk.

Where production has not commenced, SYG Industrial will endeavour to provide reasonable notice before terminating an accepted order.

The customer agrees to indemnify and hold harmless SYG Industrial, its employees, subcontractors, and manufacturing partners from and against any claims, costs, damages, or losses arising from: (a) the customer's misuse of the website or services; (b) inaccurate or incomplete information provided by the customer; (c) any claim that customer-supplied designs, drawings, or specifications infringe the intellectual property rights of a third party; or (d) the customer's breach of these terms.

Notices under these terms may be given by email or in writing to the addresses set out on this page or as otherwise agreed. Email notices are deemed received on the next working day following transmission.

These terms, and any dispute arising from them, are governed by the laws of the Netherlands. The parties agree to submit to the non-exclusive jurisdiction of the competent courts of the Netherlands, without prejudice to either party's right to seek urgent relief in any appropriate jurisdiction.

If any provision of these terms is found to be unenforceable or invalid under applicable law, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

These terms constitute the entire agreement between SYG Industrial and the customer with respect to their subject matter, and supersede all prior representations or understandings, unless a separate written agreement has been executed by both parties.
